Terms and Conditions

Costa Renewables Nederland B.V. (Chamber of Commerce Alkmaar, The Netherlands, KvK 59134461, VAT NL853332721B01) and Costa Renewables S.A. (Panama) – together referred to as “Costa Renewables Entities” – provide products and related services under the following Terms and Conditions. By accessing this website, purchasing products, or using related services, you agree to be bound by these Terms. Any conflicting or deviating terms provided by the Client shall not apply unless expressly agreed in writing by Costa Renewables Entities.


1. Jurisdiction and Governing Law

1.1 These Terms apply worldwide to all users, clients, and business partners.
1.2 The Terms shall be governed primarily by the laws of the Netherlands. The District Court of Noord-Holland shall have exclusive jurisdiction, unless mandatory local consumer law provides otherwise. International private law principles shall not alter this choice of Dutch law.
1.3 Each Costa Renewables Entity is a separate legal entity. No group-wide liability shall exist. Claims may only be brought against the specific contracting entity.


2. Professional Use Only

2.1 All products and systems supplied by Costa Renewables Entities are intended solely for professional use.
2.2 Delivery is restricted to qualified installers, distributors, or professional entities.
2.3 Any installation must be carried out by authorized or experienced installers in strict compliance with manuals, maintenance protocols, safety instructions, and all applicable local, national, and international standards and regulations.
2.4 Costa Renewables Entities shall bear no liability for damages, failures, or accidents resulting from:

  • Non-professional installation;

  • Improper maintenance;

  • Deviation from prescribed protocols.


3. Liability and Exclusions

3.1 All products and services are provided on an “as is” basis, without warranties of any kind, express or implied.
3.2 To the maximum extent permitted by law, Costa Renewables Entities exclude all liability for:

  • Direct or indirect loss;

  • Consequential damages;

  • Business interruption or profit loss;

  • Data loss or system damage;

  • Damages caused by product use, installation, or maintenance, regardless of whether such damages were foreseeable or whether Costa Renewables Entities were advised of the possibility thereof.
    3.3 No liability shall arise from incidents such as (including but not limited to):

  • Exploding or malfunctioning energy storage systems;

  • Solar panels catching fire;

  • Malfunctioning sewage or water treatment systems leading to contamination or discharge;

  • Improper or neglected maintenance.
    3.4 Each entity shall be liable only for its own transactions. If a claim is mistakenly directed at the wrong entity, that entity shall be contractually indemnified and the claim transferred to the correct entity.
    3.5 Nothing in these Terms excludes liability where mandatory law prohibits exclusion (e.g. intentional misconduct, gross negligence, or mandatory product safety law for consumers).


4. Installation and Third-Party Services

4.1 Costa Renewables Entities deliver products and provide technical information but do not perform installation unless explicitly agreed in writing.
4.2 Any installation, integration, or maintenance is the sole responsibility of independent third-party installers.
4.3 Costa Renewables Entities are not liable for the acts, omissions, or negligence of third-party installers, subcontractors, or distributors.


5. Business-to-Business (B2B) vs. Consumers

5.1 These Terms are drafted primarily for B2B transactions with professional clients (installers, wholesalers, project developers, and enterprises). Costa Renewables Entities do not market or sell directly to consumers; any incidental consumer sales shall remain subject only to mandatory statutory protections.
5.2 For B2B clients: liability is fully excluded except in cases of proven gross negligence or intent.
5.3 For consumers (where applicable under EU or mandatory local law): statutory rights shall apply, but liability remains strictly limited to direct damages, never consequential damages.


6. Payment Terms

6.1 Payments are divided as follows:
(a) 50% down payment upon order confirmation;
(b) 40% upon receipt of a tracking code confirming dispatch; and
(c) 10% within 5 business days of final invoice, unless otherwise agreed in writing.
6.2 Title to goods remains with the supplying entity until full payment has been received.
6.3 Late payments may incur statutory interest and collection costs.


7. Confidentiality and Privacy

7.1 Client records are treated as confidential and will not be disclosed to third parties except as legally required or necessary for contractual performance.
7.2 Personal data is processed in accordance with applicable privacy laws (including EU GDPR).


8. Intellectual Property

8.1 All texts, logos, product names, and website contents are protected by copyright and trademarks of the respective Costa Renewables Entity.
8.2 No redistribution, framing, or republication of website contents is permitted without prior written consent.


9. Force Majeure

Neither party shall be liable for non-performance caused by events beyond their control, including, without limitation, natural disasters, war, terrorism, political unrest, or regulatory actions.


10. General Provisions

10.1 Failure to enforce any provision of these Terms shall not constitute a waiver.
10.2 If any clause is found invalid or unenforceable, the remaining provisions remain in full effect.
10.3 Amendments to these Terms require written consent of duly authorized representatives of the respective Costa Renewables Entity.


11. Notification of Changes

Costa Renewables Entities may update these Terms at any time. Continued use of the website or purchase of products implies acceptance of the revised Terms.
